Terms

This page sets out the key commercial terms of the pilot. Full terms of engagement are provided during onboarding, before any work begins. If there is any conflict, the signed terms of engagement apply.

The service

ZELQ provides outsourced credit-control support for overdue business-to-business (B2B) commercial invoices. ZELQ works agreed overdue accounts on the client's behalf, under the client's signed Letter of Authority. ZELQ does not buy invoices or take ownership of debts. The client keeps ownership of its receivables, and debtors continue to pay the client directly, not ZELQ.

The 30-day pilot

  • The pilot costs £354, paid in advance through Stripe.
  • The 30-day pilot begins once ZELQ has received both the client's signed Letter of Authority and aged debtors report.
  • The overdue debtor accounts the client asks ZELQ to work are the "agreed accounts".
  • At the end of the 30 days the pilot concludes. Any further work is agreed separately.

Success fees

A fixed success fee applies according to the total cash actually recovered, as defined below:

  • £0 to £2,499 recovered: £0
  • £2,500 to £4,999 recovered: £495
  • £5,000 to £9,999 recovered: £995
  • £10,000 to £19,999 recovered: £1,495
  • £20,000 to £39,999 recovered: £1,995
  • £40,000 or more recovered: £2,995 (maximum)

What counts as cash actually recovered

  • Cash actually received by the client from an agreed debtor account that ZELQ has materially contacted or worked during the 30-day pilot.
  • The payment must be received during the 30-day pilot or within the 30 days after the pilot ends (the attribution period). This ensures that payments resulting from ZELQ's work are not excluded because a debtor pays shortly after the pilot ends.
  • Payments from debtor accounts that ZELQ did not contact or work do not count.
  • Qualifying payments include part payments and payments made directly to the client.
  • It does not include promises to pay, the face value of the ledger, payment arrangements that have not yet been paid, credit notes, or invoices the client cancels or writes off.
  • The client tells ZELQ about payments received from worked accounts during the attribution period.
  • The success fee is invoiced once the attribution period ends and is payable within 14 days.

No guarantee

ZELQ does not guarantee that any amount will be recovered. Outcomes depend on the circumstances of each account.
